Practice, or practice plus building
The default is a practice sale with an assignment of the existing lease: you buy the business, the equipment and the patient base, and you step into the seller's lease with the landlord's consent. The building belongs to somebody else and stays that way.
The other case is the seller who owns the suite or the freestanding building, usually through a separate entity. Then there are two transactions running together, often on two different timelines and with two different lenders.
Why lenders treat it differently
A practice loan and a commercial property loan are underwritten differently, amortize over different terms, and can come from different departments of the same bank. Buying both is not simply a bigger version of buying one, and the property side can be the part that sets the closing date.
